breathwork, wellness consultations, and related services. By using our services, you agree
to be bound by these terms and conditions.

2. Services & Booking
We offer breathwork sessions, wellness consultations, courses, retreats, and related wellness services ("Services"). Booking is available via our website, email, phone, or WhatsApp. A comprehensive health assessment is required before participating in most Services. Service duration, format, and specific requirements vary by program and will be communicated at the time of booking.
3. Payment Terms
Indian clients: Payment accepted via UPI, bank transfer, or other approved methods International clients: Payment via INR transfer through Wise app, select credit card options, or other approved international payment methods Payment terms, schedules, and refund policies are specified in each service agreement. Full payment is typically required before service commencement unless otherwise agreed in writing.
4. Cancellation Policy
Private sessions: Minimum 24 hours advance notice required for cancellation or rescheduling, otherwise full charges apply
● Courses and retreats: Specific cancellation timeframes and penalties are communicated before payment and vary by program duration and type
● No-shows: Full charges apply for failure to attend scheduled sessions without prior notice
● Our cancellations: We will offer rescheduling options or provide full refund if rescheduling is not possible
5. Health & Safety Disclaimers
IMPORTANT: Our Services are not medical treatment and do not replace professional medical care, diagnosis, or treatment. You must consult qualified healthcare providers before participating in any of our programs.
Health Requirements: You must complete all health assessment forms honestly and fully disclose any medical conditions, medications, mental health concerns, or other factors that may affect your participation.
Known Risks: Breathwork and related practices may cause intense physical sensations, emotional releases, altered states of consciousness, dizziness, hyperventilation, muscle tension, or other physiological and psychological effects.
Contraindications: Our Services are not suitable for individuals with certain conditions including but not limited to: severe cardiovascular disease, respiratory disorders, uncontrolled high blood pressure, recent surgery, pregnancy complications, severe mental health conditions, untreated bipolar disorder, epilepsy, recent psychiatric hospitalization, active substance abuse or early recovery, or those taking certain medications that may be affected by breathing techniques.
Emergency Procedures: For in-person sessions, we will contact emergency services if required. For virtual sessions, you are responsible for your own emergency care and must ensure someone is available to assist you if needed.
Participation at Your Own Risk: You acknowledge that participation carries inherent risks and agree to stop immediately if you experience any discomfort, adverse effects, or concerning symptoms.
6. Technology & Recording Policies
Client Recording: Recording of sessions by participants is strictly prohibited without our prior written consent.
Our Recording: We may record sessions with your explicit written or electronic consent. For certain training programs, recorded participation may be mandatory, which will be clearly communicated before enrollment. All recorded materials remain our exclusive property.
Technical Issues: While we strive for reliable service delivery, we cannot guarantee uninterrupted technical performance and provide no automatic compensation for technical failures beyond our reasonable control.
7. Intellectual Property Rights
All materials provided during or in connection with our Services, including but not limited to proprietary breathing techniques, course curricula, handouts, recordings, written materials, methodologies, and training content, remain our exclusive intellectual property.
Permitted Use: Materials are licensed to you for personal use only in connection with your participation in our Services.
Prohibited Activities: You may not reproduce, distribute, share, sell, modify, create derivative works from, publicly display, or otherwise use our intellectual property without express written permission.
Enforcement: Unauthorized use, duplication, distribution, or repackaging of our intellectual property may result in immediate termination of services and legal action, including claims for monetary damages, injunctive relief, and attorney fees. 8. General Policies
No Outcome Guarantees: Individual results from our Services vary significantly. We make
no representations, warranties, or guarantees regarding specific outcomes, benefits, or
healing results.
Between-Session Support: Limited support between scheduled sessions may be available
but is not guaranteed and may incur additional charges.
Professional Conduct: All participants must maintain appropriate, respectful behavior that
honors the cultural and spiritual aspects of breathwork practices. We reserve the right to
immediately terminate services for inappropriate conduct, harassment, or violation of these
terms.
Age Restrictions: Participants must be 18 years or older. For participants aged 16-17,
written parental/guardian consent is required, which must be submitted via signed physical
document or verified electronic signature, along with proof of guardian identity.
9. Limitation of Liability
Maximum Liability: Our total liability to you for any claims arising from or related to our
Services shall not exceed the total amount paid by you for the specific Service giving rise to
the claim.
Excluded Damages: We shall not be liable for any indirect, incidental, special,
consequential, or punitive damages, including but not limited to lost profits, business
interruption, or emotional distress, regardless of the cause of action or theory of liability.
Your Expenses: We are not responsible for any travel, accommodation, or other expenses
you incur in connection with our Services, even if Services are cancelled or rescheduled.
Assumption of Risk: You expressly acknowledge and agree that participation in our
Services is at your sole risk.
10. Force Majeure
Neither party shall be liable for any delay in or failure of performance under these terms due
to any cause beyond their reasonable control, including but not limited to: acts of God,
natural disasters, epidemics, pandemics, government actions, war, terrorism, civil unrest,
strikes, labor disputes, or failure of third-party service providers ("Force Majeure Event").
The affected party shall provide written notice of the Force Majeure Event within seven (7)
days of becoming aware of such event and shall use reasonable efforts to mitigate its effects
and resume performance as soon as reasonably practicable. If a Force Majeure Event
continues for more than sixty (60) days, either party may terminate the affected service
agreement with written notice.
11. Refund Policy
Refund policies vary by service type and are clearly communicated before payment. We do
not offer satisfaction-based or money-back guarantees. All refund requests must be made in
writing and are subject to the specific terms outlined in your service agreement.
12. Privacy and Data Protection
Your personal information, including health data, will be collected, used, and protected in
accordance with applicable Indian privacy laws, including the Digital Personal Data
Protection Act 2023, Information Technology Act 2000, and other relevant data protection
regulations. Our detailed Privacy Policy governs our handling of your personal information

We implement appropriate technical and organizational measures to protect your personal
data and will not share your information with third parties without your consent, except as
required by law or for emergency medical situations.
13. Modification of Terms
We reserve the right to modify these terms at any time by posting updated terms with a
revised "Last Updated" date on our website. Material changes (defined as changes that
substantially affect your rights, obligations, or our liability) will be communicated via email at
least thirty (30) days before taking effect, where practicable. Your continued use of our
Services after such modifications constitutes acceptance of the revised terms.
14. Notices and Communications
All legal notices, communications, and official correspondence under these terms must be in
writing and delivered via:

● Hand delivery with written acknowledgment of receipt
Notices are deemed received upon email delivery confirmation, three (3) days after posting
via registered mail, or immediately upon hand delivery.
15. Severability
If any provision of these terms is held to be invalid, illegal, or unenforceable by a court of
competent jurisdiction, such provision shall be deemed modified to the minimum extent
necessary to make it valid and enforceable, or if such modification is not possible, such
provision shall be deemed deleted from these terms. The remaining provisions shall
continue in full force and effect.
16. Governing Law and Jurisdiction
These terms and conditions shall be governed by and construed in accordance with the laws
of India. Any disputes, claims, or legal proceedings arising out of or relating to these terms or
our Services shall be subject to the exclusive jurisdiction of the competent courts located in
Panaji, Goa, India. You hereby irrevocably consent to the jurisdiction of such courts and
waive any objection to venue or inconvenient forum.
17. Dispute Resolution
Any disputes arising under these terms should first be addressed through direct
communication with us within thirty (30) days of the dispute arising. If such discussions do
not resolve the matter within thirty (30) days, the dispute may be submitted to binding
mediation under the rules of the Indian Council of Arbitration or another recognized
mediation service. If mediation fails, disputes shall be resolved exclusively through the
courts specified in the Governing Law and Jurisdiction clause above.
18. Cultural Sensitivity and Traditional Practices
We honor both traditional and modern breathwork approaches. International participants are
expected to show respect for Indian cultural and spiritual traditions. Our practices may
incorporate elements from various breathing traditions, and we maintain sensitivity to the
cultural origins of these techniques.
19. Entire Agreement
These terms, together with any specific service agreements and our Privacy Policy,
constitute the entire agreement between you and SHIRANOA WELLNESS PRIVATE
LIMITED regarding the subject matter herein and supersede all prior and contemporaneous
agreements, representations, and understandings.
